Pursuant to the provisions of Article 4.03 of the Texas Non-Profit
Corporation Act, as well as the terms of Article Nine of the Articles of Incorporation
of Institute for Humane Studies of Texas, a Texas non-profit corporation, the
undersigned corporation adopts the following Articles of Amendment to its Articles of
Incorporation to provide for disposition of the assets of the corporation upon its
dissolution.

ARTICLE ONE
The name of the corporation is Institute for Humane Studies of Texas.
ARTICLE TWO

The Articles of Incorporation are hereby amended by adding thereto a new
Article Eleven to read as follows:

Upon the dissolution of the corporation, the board of directors

shall, after paying or making provision for the payment 01' all of

the liabilities of the corporation, dispose of all of the assets of

the corporation exclusively for the purposes of the corporation

in such manner, or to such organization or organizations

organized and operated exclusively for charitable, educational,

religious or scientific purposes as shall at the time qualify as an

exempt organization or organizations under Section 501(c)(3) of

the Internal Revenue Code of 1954 (or the corresponding

provision of any future United States Internal Revenue Law), as
the board of directors shall determine.

ARTICLE THREE
The amendment was adOpted at a meeting of the board of directors held on
of 1985, and received the vote of a majority of the directors in office,
there being no members having- voting rights in respect thereof.
