WHEREAS, pursuant to Section 43-1-2 of the 1972 Mississippi Code Annotated, as amended and 42 U.S.C. '604a, MDHS is authorized to enter into agreements with public and private agencies for the purpose of purchasing certain services for the benefit of eligible individuals under the Personal Responsibility and Work Opportunity Reconciliation Act of 1996, hereinafter the "Act"; and WHEREAS, the Subgrantee is eligible for entering into agreements with MDHS for the purpose of providing services for the benefit of certain eligible individuals under the Act; and WHEREAS, the services being contracted for in this Agreement are not otherwise available on a non-reimbursable basis; and WHEREAS, MDHS wishes to purchase such services from Subgrantee; NOW THEREFORE, in consideration of the mutual understandings and agreements set forth, MDHS and Subgrantee agree as follows: GENERAL TERMS AND PROVISIONS SECTION I PURPOSE The purpose of this Agreement is to engage the services of the Subgrantee to perform certain services under the Act. SECTION II RESPONSIBILITY OF SUBGRANTEE The Subgrantee shall provide, perform, and complete in a satisfactory manner as determined by MDHS, the services described in Exhibit A, entitled "Scope of Services" which is made a part hereof and incorporated by reference herein. 1 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 SECTION III TERM OF AGREEMENT The Subgrantee shall undertake and complete services to be rendered under this Agreement beginning October 1, 2016 or after all parties have signed, whichever is later, and end September 30, 2017. SECTION IV SUBGRANT AMOUNT AND PAYMENT A. SUBGRANT AMOUNT The total amount of this Subgrant to be provided by MDHS is ONE MILLION DOLLARS AND ZERO CENTS ($1,000,000.00). B. METHOD OF PAYMENT Payment method is by Cost Reimbursement as referenced on the Subgrant/Contract Signature Sheet, Item 6. Eligible expenses are outlined in the Budget Summary and Cost Summary Support Sheet(s), attached hereto and made a part hereof. For any request for funds to be processed, MDHS must receive required monthly program and fiscal reports as outlined in Section XX of this Agreement. Any increase, decrease or change in the funding under this Agreement that is authorized by the parties, in compliance with applicable laws and policies, shall require a modification of the amounts listed in the Budget Summary and Cost Summary Support Sheets pursuant to Section XXIV of this Agreement. C. MAXIMUM LIABILITY Irrespective of any other provisions of this Agreement, its attachments, laws and regulations, or the obligation of the Subgrantee, the liability of payment by MDHS to Subgrantee of funds shall be limited to an amount not to exceed the sum of ONE MILLION DOLLARS AND ZERO CENTS ($1,000,000.00) in consideration of all of the activities and services provided pursuant to this Agreement unless specifically increased in accordance with Section XXIV of the Agreement. SECTION V TERMINATION OR SUSPENSION A. TERMINATION OR SUSPENSION If the Subgrantee materially fails to comply with any of the covenants, terms or stipulations of this Agreement, whether stated in a federal statute or regulation, an assurance, in the State plan or application, a notice of award, or elsewhere, MDHS may, upon giving written notice to Subgrantee, take one or more of the following actions, as appropriate in the circumstances: 2 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 1. 2. 3. 4. 5. Temporarily withhold cash payments pending correction of the deficiency by Subgrantee or more severe enforcement action by MDHS; Disallow (that is, deny both use of funds and, if applicable, matching credit for) all or part of the cost of the activity or action not in compliance; Wholly or partly suspend or terminate the current award for the Subgrantee's program; Withhold further awards for the Subgrantee's program; or Take other remedies that may be legally available. TERMINATION FOR CAUSE If, through any cause, Subgrantee shall fail to fulfill in a timely and proper manner, as determined by MDHS, its obligations under this Subgrant, or if Subgrantee shall violate any of the covenants, agreements, or stipulations of this Subgrant, MDHS shall thereupon have the right to terminate the Subgrant by giving written notice to Subgrantee of such termination and specifying the effective date thereof at least five (5) days before the effective date of such termination. In the event of such termination, Subgrantee shall be entitled to receive just and equitable compensation for satisfactory work completed on documents, services or materials collected and/or prepared by Subgrantee in connection with this Subgrant. Such compensation shall be based upon the fees set forth in Paragraph IV.A, but, in no case, shall said compensation exceed the total Subgrant price. Notwithstanding the above, Subgrantee shall not be relieved of liability to MDHS for damages sustained by MDHS by virtue of any breach of this Subgrant by Subgrantee, and MDHS may withhold any payments to Subgrantee for the purpose of set off until such time as the exact amount of damages due to MDHS from Subgrantee are determined. C. TERMINATION FOR CONVENIENCE This Agreement may be terminated for convenience, in whole or in part, as follows: 1. By MDHS with the consent of the Subgrantee, in which case the two parties shall agree upon the termination conditions, including the effective date, and in the case of partial termination, the portion to be terminated; or 2. By the Subgrantee upon written notification to MDHS, setting forth the reasons for such termination, the effective date, and in the case of partial termination, the portion to be terminated. However, if, in the case of a partial termination, MDHS determines that the remaining portion of this subgrant will not accomplish the purposes for which the subgrant was made, MDHS may, without the Subgrantee’s consent, terminate this subgrant in its entirety. D. RIGHTS AND REMEDIES UPON TERMINATION OR SUSPENSION In the event of termination or suspension as provided in this Section, Subgrantee shall be entitled to receive just and equitable compensation for unreimbursed obligations or expenses that are reasonably and necessarily incurred in the satisfactory performance, as determined by MDHS, of this Agreement, that were incurred before the effective date of suspension or termination, and that are not in anticipation of termination or suspension. Costs of the Subgrantee resulting from obligations incurred by the Subgrantee during a suspension or after termination of this subgrant are not allowable under this Agreement. In no case, however, shall said compensation or payment exceed the total amount of this subgrant. Subgrantee shall be liable to MDHS for damages sustained by MDHS by virtue of any breach of this Agreement by Subgrantee, and MDHS may withhold any payments to Subgrantee for the purpose of set off until such times as the exact amount of damages due to MDHS from Subgrantee are determined. In case of termination or suspension as provided hereunder, all property, finished or unfinished documents, data, studies, surveys, drawings, photographs, manuals and reports or other materials prepared by or for the Subgrantee under this Agreement shall, at the option of MDHS, become the property of MDHS and shall be disposed of according to MDHS' directives. The rights and remedies of MDHS provided in this Section shall not be exclusive and are in addition to any other rights and remedies provided by law or in equity. SECTION VI COMPLAINT RESOLUTION Subgrantee assures that persons requesting or receiving services under this Agreement shall have the right to a complaint resolution procedure regarding any decision relating to this Agreement. Said procedures may be under the Fair Hearing Procedure of the Mississippi Department of Human Services, or under a conciliation process, or that required by the MDHS as authorized by the Mississippi Administrative Procedures Law, Mississippi Code Annotated 1972, as amended, Section 25-43-1 et. seq., or under the complaint procedure of the Personal Responsibility and Work Opportunity Reconciliation Act of 1996, whichever is appropriate to the complaint as directed by MDHS. SECTION VII COMPLIANCE WITH LAWS, RULES, AND REGULATIONS Subgrantee shall comply with all applicable policies and procedures of MDHS and with all applicable laws, rules and regulations of the federal government and of the State of Mississippi that may affect the performance of services under this Agreement. The Subgrantee shall comply with, among other regulations, the Act; the MDHS Subgrant/Contract Manual, Revised 2012, and the applicable Code of Federal Regulations. 4 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 If the Subgrantee advertises or prints brochures, flyers or any other material, printed or otherwise, relating to, or promoting, the services which it is providing through this Subgrant, it shall acknowledge that said funding for said Subgrant and for said advertising was provided by MDHS. SECTION VIII STANDARD ASSURANCES This Agreement is subject to the Subgrant/Contract Signature Sheet, the Budget and Cost Summary Support Sheets, the Budget Narrative, the Scope of Services (Exhibit A), the Standard Assurances, the Certifications Regarding Lobbying; Debarment, Suspension and Other Responsibility Matters; and Drug-Free Workplace Requirements, the Certifications Regarding Monitoring Findings; Audit Findings; and Litigation Occurring within the Last Three Years, the Certification of Adequate Fidelity Bonding (Exhibit B), Board Member=s Notification of Liability (Exhibit C), Subgrant/Contract Manual, Revised 2012 (Exhibit D), Federal Debarment Verification Requirement (Exhibit E) and Partnership Debarment Verification (Exhibit F); all of the foregoing being attached hereto and incorporated by reference herein. Fiscal Requirements and Audit. Subgrantee shall establish such fiscal control and fund accounting procedures, including internal auditing procedures, as may be necessary to assure the proper disbursal of and accounting for funds paid under this grant, including but not limited to the Single Audit Act of 1996. Subgrantee shall keep, maintain and present to MDHS, as required, necessary and proper vouchers, documentation and otherwise to support the expenditure of funds and Subgrantee shall adhere to State and Federal guidelines regarding subgrant provisions, financial documentation, and certifications per OMB Circular A-122, Cost Principles for Nonprofit Organizations. SECTION IX INCLUSION OF ALL TERMS AND CONDITIONS This Agreement and any and all documents attached hereto or incorporated by reference herein constitute the entire agreement of the parties with respect to the subject matter contained herein and supersede and replace any and all prior negotiations, understandings and agreements, written or oral, between the parties relating thereto. No other understanding regarding the subject matter of this Agreement shall be deemed to exist or bind any of the parties hereto. SECTION X AGREEMENTS BY SUBGRANTEE A. GENERAL RESPONSIBILITY It is understood and agreed that the Subgrantee may be entering into certain subcontracts with eligible entities (hereinafter referred to as Subgrantee's Contractor/Subcontractor) for the provision of the aforementioned services. Entities currently in a contractual relationship with MDHS to provide the same or similar services are not eligible to enter into a Contract/Subcontract with the Subgrantee. Such subcontracts shall be governed by 5 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 all of the provisions of this Agreement, and Subgrantee shall be fully responsible for the performance of any Subgrantee's Contractor/Subcontractor whatsoever and for any costs disallowed as a result of monitoring of the Subgrantee by MDHS and/or as a result of monitoring the Subgrantee's Contractor/Subcontractor either by MDHS or by the Subgrantee. Copies of all subcontracts and modifications shall be forwarded to MDHS, Division of Field Operations, Administrative Unit. B. USE OF FUNDS In any Contracts/Subcontracts which Subgrantee enters into with Contractors/Subcontractors for provision of services and/or goods under this Agreement, Subgrantee shall require that the funds obligated under said Contracts/Subcontracts shall be used to support the Contracts/Subcontracts for the provision of only such services authorized under this Agreement. Subgrantee agrees that it shall require all of such Subgrantee's Contractors/Subcontractors/Employees to comply with all local, municipal and county health, safety and other ordinances and requirements and with all applicable federal and state laws, statutes and regulations. C. ADMINISTRATIVE CHARGES Subgrantee agrees that it has not imposed and shall not impose any administrative charges on its subcontractors. D. LIABILITY OF SUBCONTRACTORS Subgrantee agrees that in any Contract/Subcontract for the provision of services covered by this Agreement, it shall require that its Contractor/Subcontractor, its officers, representatives, agents and employees shall release and hold harmless MDHS and the State of Mississippi from and against all claims, demands, liabilities, suits, damages and costs of every kind and nature whatsoever, including court costs and attorneys' fees, arising out of or caused by the Contractor/Subcontractor and/or its officers, agents or employees in the performance of such services. SECTION XI ELIGIBILITY FOR SERVICES Subgrantee agrees to provide services only to clients as described in the Scope of Services. SECTION XII CONFIDENTIALITY All information regarding applicants for and recipients of services under this Agreement shall be available only to MDHS, Subgrantee, and/or to the appropriate subcontractor and to those persons authorized in writing to receive same by the client, or as otherwise authorized by law. The Subgrantee will guard against unauthorized disclosures. Nothing in this Section, however, shall affect provisions of Section XIX of this Agreement. 6 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 SECTION XIII AUDIT A. INTERNAL AUDITING Subgrantee shall conduct internal auditing procedures to ensure that the services provided and the activities performed with funds provided under this Agreement are in compliance with the provisions of this Agreement and with Subgrantee audit policy described in MDHS' Subgrant/Contract Manual, Revised 2012 and all applicable laws, statutes, rules and regulations. B. INDEPENDENT AUDITING Subgrantee shall comply with the Single Audit Act of 1996, the applicable Office of Management and Budgets (OMB) Circular(s) and the MDHS Subgrant/Contract Manual, Revised 2012. The audit required under the Single Audit Act of 1996 must be performed by an Independent Auditor. C. RESPONSIBILITY OF SUBGRANTEE Subgrantee shall receive, reply to and resolve any audit and/or programmatic exceptions by appropriate state and/or federal audit related to this Agreement and/or any resulting Contract/Subcontract. D. SUPPLEMENTAL AUDIT MDHS retains the right to perform a supplemental audit and review, when MDHS deems the same to be appropriate, of any and all of the Subgrantee’s and/or its Contractor/ Subcontractor's books, records and accounts, and to initiate such audit and to follow any audit trail for a period of three (3) years from expiration date of this Agreement and for such additional time as required to complete any such audit and/or to resolve any questioned costs. E. AUDIT EXCEPTIONS Subgrantee shall pay to MDHS the full amount of any liability to the federal, state or local government resulting from final adverse audit exceptions under this Agreement and/or under any Contract/Subcontract funded hereunder. Audit exceptions may result in accepting a reduction of future amounts by a total equal to the amount disallowed or deferred, and/or by other methods approved by MDHS, including recoupment of funds paid to Subgrantee under this Agreement. 7 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 SECTION XIV RELATIONSHIP OF THE PARTIES A. It is expressly understood and agreed that MDHS enters into this Subgrant with Subgrantee on a purchase of service basis and not on an employer-employee relationship basis. Nothing contained herein shall be deemed or construed by MDHS, the Subgrantee, or any third party as creating the relationship of principal and agent, partners, joint venturers, or any similar such relationship between MDHS and the Subgrantee. Neither the method of computation of fees or other charges, nor any other provision contained herein, nor any acts of MDHS or the Subgrantee hereunder, creates or shall be deemed to create a relationship other than the independent relationship of MDHS and the Subgrantee. B. Subgrantee represents that it has, or will secure, at its own expense, applicable personnel who shall be qualified to perform the duty required to be performed under this Subgrant. C. Any person assigned by Subgrantee to perform the services hereunder shall be the employee of Subgrantee, who shall have the sole right to hire and discharge its employee. MDHS may, however, direct Subgrantee to replace any of its employees under this Subgrant. If Subgrantee is notified within the first eight (8) hours of assignment that the person is unsatisfactory, Subgrantee will not charge MDHS for those hours. D. It is further understood that the consideration expressed herein constitutes full and complete compensation for all services and performances hereunder, and that any sum due and payable to Subgrantee shall be paid as a gross sum with no withholdings or deductions being made by MDHS for any purpose from said Subgrant sum. E. Subgrantee shall pay when due all salaries and wages of its employees, and it accepts exclusive responsibility for the payment of Federal Income Tax, State Income Tax, Social Security, Unemployment Compensation and any other withholdings that may be required. SECTION XV INDEMNIFICATION MDHS shall, at no time, be legally responsible for any negligence or wrongdoing by the Subgrantee and/or its employees, servants, agents, and/or subcontractors. Subgrantee agrees to indemnify, defend, save and hold harmless MDHS from and against all claims, demands, liabilities, suits, damages, and costs of every kind and nature whatsoever, including court costs and attorney=s fees, arising out of or caused by Subgrantee and its employees, agents, contractors, and/or subcontractors in the performance of this Subgrant. Subgrantee agrees that in any contract or subcontract into which it enters for the provision of the services covered by this Agreement, it shall require that its Contractors/Subcontractors, their officers, representatives, 8 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 agents, and employees shall release and hold harmless MDHS and the State of Mississippi from and against any and all claims, demands, liabilities, suits, damages, and costs of every kind and nature whatsoever, including court costs and attorneys= fees, arising out of or caused by the Contractor/Subcontractor and/or its officers, representatives, agents, and employees in the performance of such services. SECTION XVI INSURANCE Subgrantee agrees that it will maintain Workers' Compensation insurance which shall inure to the benefit of all Subgrantee's personnel performing services under this Agreement, comprehensive general liability insurance and employee fidelity bond insurance in the amount equal to 25% of the funds awarded hereunder. Subgrantee shall furnish MDHS with a certificate of insurance providing the aforesaid coverage, prior to the commencement of performance under this Agreement. In any subcontract into which Subgrantee enters with Subcontractors, there shall be a like insurance provision in which the Subcontractor shall provide the same coverage to and for its personnel. SECTION XVII AVAILABILITY OF FUNDS It is expressly understood and agreed that the obligation of MDHS to proceed under this Agreement is conditioned upon the appropriation of funds by the Mississippi State Legislature and/or the receipt of federal and state funds. In the event that the funds anticipated for the fulfillment of this Agreement are, at any time, not forthcoming or are insufficient, either through the failure of the federal government to provide funds, or of the State of Mississippi to appropriate funds, or through the discontinuance or material alteration of the program under which funds were provided, or if funds are not otherwise available to MDHS for the performance of this Agreement, MDHS shall have the right to immediately terminate this Agreement, without damage, penalty, cost or expense to MDHS of any kind whatsoever. The ultimate decision as to whether or not funds continue to be available for the performance of this Agreement lies solely with MDHS. SECTION XVIII RECORDS A. MAINTENANCE OF RECORDS Subgrantee shall maintain fiscal and program records, books, documents, and adhere to Generally Accepted Accounting Principles, which sufficiently and properly reflect all direct and indirect costs and cost of any nature expended in the performance of this agreement. Such records shall be subject, at all reasonable times, to inspection, review, audit or the like, by MDHS or by duly authorized federal and state personnel. 9 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 B. ACCESS TO RECORDS Subgrantee agrees that MDHS, the federal grantor agency, the Comptroller General of the United States and/or any of their duly authorized representatives shall have access to any and all books, documents, papers, electronic media or records of the Subgrantee or of the Subgrantee's Contractors/Subcontractors which are pertinent to the program for the purpose of making audits, examinations, excerpts and transcripts of such records. C. RECORDS OF SUBGRANTEE Subgrantee agrees that in any Contracts/Subcontracts into which it enters with Contractors/Subcontractors it shall require said Contractors/Subcontractors to maintain fiscal and program records related to Contractor/Subcontractor's work performed under this Agreement, in accordance with MDHS' Records Retention and Access Policy, as set forth in the MDHS Subgrant/Contract Manual, Revised 2012. SECTION XIX AVAILABILITY OF INFORMATION Subgrantee agrees to furnish information and cooperate with all federal and/or state investigations, make such disclosure statements as may be required by the Agreement and other applicable federal and state laws, and federal and state regulations. SECTION XX REPORTING A. MONTHLY REPORTING Subgrantee shall furnish MDHS written monthly reports of costs incurred and such reports shall contain sufficient data to provide evidence of budget compliance and shall be due ten (10) calendar days after the close of each month. Such reports shall be complete for the period covered and shall contain financial details pertaining to the execution of their subgrant. As may be requested by MDHS, Subgrantee shall review and discuss any of such written reports at such time and in such manner as may be deemed necessary by MDHS. B. TERMINATION REPORTS Subgrantee shall furnish MDHS a written termination report within ten (10) days from the termination date unless additional time is granted in writing by MDHS. The termination report shall include information and data required by MDHS to furnish evidence of financial and programmatic compliance. 10 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 C. FINAL FISCAL REPORT The Subgrantee agrees to provide a final fiscal report to MDHS within forty-five (45) calendar days after the ending of this Agreement and this, along with the Subgrantee's final fiscal and programmatic report will be used for the purpose of reconciling this Agreement to the actual expenditures for activities and services rendered not to exceed the maximum amount as set forth in Section IV.A of this Agreement. Any funds paid by MDHS to Subgrantee and not expended for activities or services under this Agreement or funds expended in violation of this Agreement, shall be considered MDHS funds and shall be returned to MDHS in full. Where deemed appropriate by MDHS and accepted by the Subgrantee, a reduction may be allowed in future payments under future agreements by a total amount equal to the amount disallowed or deferred, or by other methods approved by MDHS. Proper procedures for closeout of the Subgrant, as detailed in the MDHS Subgrant/Contract Manual, Revised 2012, Section 11, shall be followed. D. TAX REPORTS Subgrantee shall file timely federal and state tax reports as due and, if requested, shall furnish MDHS a copy of all reports within ten (10) days after filing. SECTION XXI DISPUTES Any dispute concerning a question of fact under this Agreement which is not disposed of by agreement of the Parties hereto shall be decided by the Director of the Division of Field Operations (DFO). This decision shall be reduced to writing and a copy thereof mailed or furnished to the Subgrantee and shall be final and conclusive, unless, within thirty (30) days from the date of the decision, Subgrantee mails or furnishes to the Executive Director of the Mississippi Department of Human Services a written request for review. Pending final decision of the Executive Director or his designee, the Subgrantee shall proceed in accordance with the decision of the Director of Field Operations. In a review before the Executive Director or designee, the subgrantee shall be afforded an opportunity to be heard and to offer evidence in support of its position on the question and decision under review. The decision of the Executive Director or designee shall be final and conclusive unless that decision is determined by a court of competent jurisdiction in Hinds County, State of Mississippi, to have been fraudulent, capricious or so grossly erroneous as necessarily to imply bad faith, or that it was not supported by substantial evidence. SECTION XXII WAIVER Failure of either party hereto to insist upon strict compliance with any of the terms, covenants, and conditions of this Agreement shall not be deemed a waiver or relinquishment of any similar right or power hereunder at any subsequent time or of any other provision hereof, nor shall it be construed to be a modification of terms of this Agreement. 11 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 SECTION XXIII PATENTS, COPYRIGHTS, AND RIGHTS IN DATA A. PATENTS This Agreement is awarded primarily for educational purposes and job preparation and placement activities and not for the purposes of experimental, developmental or research projects. Should the activities of Subgrantee or its Contractor/Subcontractor include experimental, developmental or research projects, this Agreement shall be promptly amended to include the standard patent rights clauses as set forth in Public Law 98-620 (1984), 37 CFR 40, Part 401 - Rights to Inventions Made By Nonprofit Organizations and Small Business Firms under Government Grants, Subgrants, and Cooperative Agreements or any other applicable provision required by state and/or federal law, rule or regulation. B. COPYRIGHTS MDHS reserves a royalty-free, nonexclusive, and irrevocable license to reproduce, publish or otherwise use, and to authorize others to use: C. 1. The copyright in any work developed under this Agreement, or under any subgrant with any Subgrantee or its Contractors/Subcontractors' agreements; and 2. Any rights of copyright to which Subgrantee or its Contractors/Subcontractors purchase ownership with grant support under this Agreement. RIGHTS AND DATA All systems, computer programs, operating instructions, and all other documentation developed for or specifically relating to information processing of any kind under this Agreement, and reports prepared by Subgrantee or its Contractors/Subcontractors will be the property of MDHS and will remain so upon completion or termination of this Agreement. All cards, magnetic tapes, disk packs, or other storage media, temporary and/or permanent, containing programs and/or other information of any kind relating to this Agreement shall be available for inspection by MDHS at any time, and all information thereon shall belong to MDHS, and shall be delivered to MDHS on MDHS' request therefor. Subgrantee shall maintain all master programs and master data files in a completely secure manner, either by storing such programs and files in an appropriate limited access storage area or by duplicating such programs and files and storing the duplicates in a secure location in a manner satisfactory to MDHS. SECTION XXV SEVERABILITY If any term or provision of this Agreement is prohibited by the laws of the State of Mississippi or is declared invalid or void by a court of competent jurisdiction, the remainder of the Agreement shall not be affected thereby, and each term and provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. SECTION XXVI SUBGRANTEE'S/SUBCONTRACTORS/EMPLOYEES Any person assigned by the Subgrantee to perform the services hereunder shall be the employee of the Subgrantee. MDHS may, however, direct the Subgrantee to replace any of its employees under this Agreement. The Subgrantee will replace the employee within five (5) days after receipt of notice from MDHS. SECTION XXVII BINDING REPRESENTATIVES AND SUCCESSORS The rights, privileges, benefits, and obligations created by this Agreement and by operation of law, extend to and accrue and are obligatory upon the parties hereto, their personal or real representatives, and successors. SECTION XXVIII EQUIPMENT AND SUPPLIES Equipment and supplies purchased with state funds under this Agreement shall be purchased and accounted for in accordance with state law and procedures and in accordance with MDHS= Inventory Management Policy within the MDHS Subgrant/Contract Manual, Revised 2012. SECTION XXIX FUNDS USED TO SUPPLEMENT Funds received under this Agreement and any Contract/Subcontract thereunder shall be used only to supplement, not supplant, the amount of federal, state, and/or local funds otherwise expended for the support of services to TANF Work Program participants in the Subgrantee's service area. 13 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 SECTION XXX ASSIGNMENT Subgrantee shall not assign or otherwise transfer the obligations or duties imposed pursuant to the terms of this Agreement without the prior written consent of MDHS. Any attempted assignment or transfer of its obligations without such consent shall be wholly void. SECTION XXXI CONFLICT OF INTEREST Subgrantee must ensure that there exists no direct or indirect conflict of interest in the performance of the Subgrant. Subgrantee must warrant that no part of federal or state money shall be paid directly or indirectly to an employee or official of MDHS as wages, compensation or gifts in exchange for acting as an officer, agent, employee, subcontractor or consultant to the Subgrantee in connection with any work contemplated or pertaining to the Subgrant. MDHS will hold the Subgrantee in strict compliance with the Code of Conduct in Section 6 of the MDHS Subgrant/Contract Manual, Revised 2012. SECTION XXXII APPLICABLE LAW This Agreement shall be construed and governed in accordance with the laws of the State of Mississippi. Subgrantee expressly agrees that under no circumstances shall MDHS be obligated to pay attorneys' fees or the cost of legal action to the Subgrantee. SECTION XXXIII E-VERIFY CLAUSE The E-Verify clause states: Subgrantee represents and warrants that it will ensure its compliance with the Mississippi Employment Protection Act (Senate Bill 2988 from the 2008 Regular Legislative Session) and will register and participate in the status verification system for all newly hired employees. The term "employee" as used herein means any person that is hired to perform work within the State of Mississippi. As used herein, "status verification system" means the Illegal Immigration Reform and Immigration Responsibility Act of 1996 that is operated by the United States Department of Homeland Security, also known as the E-Verify Program, or any other successor electronic verification system replacing the E-Verify Program. Subgrantee agrees to maintain records of such compliance and, upon request of the State, to provide a copy of each such verification to the State. Subgrantee further represents and warrants that any person assigned to perform services hereunder meets the employment eligibility requirements of all immigration laws of the State of Mississippi. Subgrantee understands and agrees that any breach of these warranties may subject Subgrantee to the following: (a) termination of this Agreement and ineligibility for any state or public contract in Mississippi for up to three (3) years, with notice of such cancellation/termination being made public, or (b) the loss of any license permit, certification or other document granted to Subgrantee by an agency, department or governmental entity for the right to do business in Mississippi for up to (1) year, or (c) both. In addition, this Agreement, is subject to the provisions of the Mississippi Accountability and Transparency Act of 2008 (MATA) codified as Section 31-7-13 of the Mississippi Code Annotated (1972, as amended). Unless exempted from disclosure due to a court-issued protective order, this contract is required to be posted to the Department of Finance and Administration’s independent agency contract website for public access. Prior to posting the Agreement to the website, any information identified by the Independent Contractor as trade secrets, or other proprietary information including confidential vendor information, or any other information which is required confidential by state or federal law or outside the applicable freedom of information statutes will be redacted. SECTION XXXV NOTICE Notice as required by the terms of this Agreement shall be by certified United States mail return receipt requested, postage prepaid, to the Parties addressed to their respective usual business address; or notice may be hand delivered to the respective Party whose signature appears on this Agreement as MDHS or Subgrantee. Furthermore, MCEC has a long history of successfully providing statewide programs by implementing evidence-based processes and delivery models. As such, no deterrents to the successful implementation and delivery of the Families First Resource Center Proposal are anticipated. Since the inception of the FFRC Program, MCEC has consistently provided superior services often exceeding the stated goals and objectives in providing abstinence-only/character education workshops, healthy marriage training, fatherhood initiatives, and parenting education to its participants. In addition, MCEC has provided youth development and peer mentoring programs in schools and afterschool programs across the state through its 21 st Century Learning Centers, MSReal Entrepreneurial Education program, and Even Start and Head Start partnerships. MCEC proposes the integration of these programs and other such innovative ideas into the FFRC delivery model in the southern region. MCEC has been assisted by a vast network of community partners and stakeholders which has resulted in compelling services, including:     Cost-efficient delivery Technology enriched elements Engaging services and delivery models/processes Innovative marketing and recruitment to leverage never before seen exposure for FFRC and  The level of quality management and service delivery that MCEC is known for The MCEC Families First Resource Center submits the following as the overarching goals of the program: Partner with community-based organizations, faith-based organizations, local/state agencies and communities to: provide services in positive youth development/abstinence education and family life skills education to the southern region of Mississippi. These services are designed to improve the welfare of children and their families by providing an assortment of family support services to improve and strengthen the capability of parents to react to their children in an appropriate and encouraging manner, stabilize the family unit, prevent teenage pregnancies, increase parenting skills and knowledge, and reduce at-risk behaviors. MCEC has carefully developed and aligned numerous objectives to address the identified needs. Increase awareness of the importance of parenting skills, involvement of fathers, abstinence-until-marriage, and youth development. This unique proposal will ensure MCEC meets and surpasses the requisite program goals mandated in the FFRC proposal while bringing a fresh approach to the delivery of service. PRIORITIES FOR THE CENTER IN THE SELECTED TARGET AREA: In order to effectively combat the detrimental circumstances described on the following pages, MCEC proposes to provide Families First services in the 36 counties represented as the Southern Region of Families First for Mississippi. MCEC will provide high quality program services addressing the following:     Abstinence-Until-Marriage Education and Character Education (A-H compliant and medically accurate); Youth Development Programs; Family Life Skills (includes Parenting Education, Family Development, Cooperative Parenting, Life Skills, Job Readiness and Financial Literacy Education Fatherhood and Father Involvement Priorities of the Families First Resource Center will include the following:      Promote the well-being of children and families in Mississippi; Connect families to resources; Advocate strong parenting skills; Reduce out-of-wedlock pregnancies; and Equip families and children with the skills needed to more adequately solve problems, make good choices, and increase access to services. GAPS IN SERVICE MCEC has found the current delivery system to have produced a higher quality of service delivery, increased accountability through the evaluation and assessments, and increased funds available for direct services through the reduction of administration and overhead costs. MCEC Families First Resource Center delivers program services designed to support children and families. Program services will include parenting education and abstinence/youth development. The majority of participants are referred by local DHS, Life Help, school districts, partner 2 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 organizations, court referrals, law enforcement, local health departments, churches, or through the various media used to promote the program in the communities. The FFRC is one of the few facilities in Mississippi that provides the vast array of family services, free-of-charge, as a “onestop resource”. NEEDS ASSESSMENT Throughout our state, poverty and its pervasive influences have taken a detrimental toll on our communities. Low education rates, high teen pregnancy rates, high numbers of single mothers, and high crime rates are some of poverty’s contributing factors. Teen pregnancy and at-risk socioeconomic status are inextricably related as evidenced by the following statistics: (a) nearly 80% of teen mothers receive financial assistance (Mississippi State Department of Health, Public Health Vital Statistics), (b) Mississippi has the fourth highest teen pregnancy rates in the nation, which correlates with high crime rates, high infant mortality, and high poverty rates, and (c) in 2013, Mississippi’s teen birth rate was 42.6 per 1000. While the 2013 data represents a reduction over previous years, it remains high in comparison to the national rate of 24 per 1,000. In 2009, 16.5% of all babies born in Mississippi were to teen parents, and 21% of these births were the second (or more) child. In 2010, Mississippi had 6,185 teen births and 1,305 of those births were to mothers that had a previous live birth. 60% of Mississippi students have had sexual intercourse, compared to 48% nationally. According to Centers for Disease Control and Prevention, Mississippi ranks #1 nationally in Chlamydia, #1 in Gonorrhea, and #5 in Primary and Secondary Syphilis which correlates to Mississippi teens being at even greater risk of infection from those diseases. Data collected by The National Campaign to Prevent Teen and Unplanned Pregnancy indicates that the abstinence-only message in Mississippi is working. Statistics show that between 2010 and 2013, the teen pregnancy rate dropped by 8%. Since 1991, the rate is down nearly 50%. These results indicate abstinence-only education is effective and should be continued and, if given the opportunity to succeed, effective abstinence programs paired with quality parenting programs will increase the positive impact on families. According to the Institute for American Values, “Both adults and children are better off living in communities where more children are raised by their own two married parents. Both adults and children live longer, have higher rate of physical health and lower rates of mental illness, experience poverty, crime and domestic abuse less often, and have warmer relationships on average, when parents get and stay married.” However, over the past three decades, there has been a 40% drop in the number of Americans getting married. This is due to delaying marriage until older, an increase in cohabitation, and an increase in the number of divorces (more than 60% of new marriages end in divorce) (Whitehead and Popenoe, 2004). In Mississippi, where the effects of poverty are clear, the effects of the decline of the traditional family are also evident. According to the National Center for Health Statistics, children from single mother homes are twice as likely to drop out of school. According to a U.S. Department of Justice report, 70% of juveniles in detention centers came from single parent homes. Consider the following statistics: 3 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9     51.2% of children are born into single-parent homes, compared to 36% nationally. 12.4% do not receive a High School Diploma, compared to 8.3% nationally. 7.2% of people are unemployed, compared to 6.9% nationally. Median income per household is $36,851, compared to $50,046 nationally. Statistics such as these are countless, but the end result is the same: children are much more likely to succeed when they have two parents at home, and much more likely to drop out of school, go to prison, commit suicide, exhibit violent behavior, abuse drugs and alcohol, or become a teenage mother if they grow up in a single parent household. UNIFORM STANDARD OF OPERATION Geographic Overview and Number of Participants to be served The geographic area to be covered is the southern region of Mississippi. MCEC has identified the following service structure for the South Region based on the following criterion: (1) population of the county and (2) experience with barriers to service delivery experienced during year one of the program. Based on this information, MCEC has divided the geographic area into four service regions. Each Region will consist of Tier 1, 2, 3 and 4 counties. Region 1-S will target 100 parents and 400 abstinence participants a month. Region I-S: Hinds (Center), Claiborne, Copiah, Jasper, Newton, Rankin, Scott, Simpson, Smith, Warren counties. Region II-S will target 60 parents and 250 abstinence participants a month Region II: Forrest (Center), Lauderdale, Clarke, Jefferson Davis, Covington, Jones, Wayne, Marion, Lamar, Perry and Greene. Region III will target 40 parents and 120 abstinence participants a month. Regions III-S: Adams (Center), Jefferson, Franklin, Lincoln, Lawrence, Wilkinson, Amite, Pike, and Walthall counties. Region IV-S will target 80 parents and 285 abstinence participants per month. Emphasis will be placed on serving households living below 300% of the Federal Poverty Level, participants with court orders, referrals from Department of Human Services, participants of families in temporary housing or emergency shelter situations, Healthy Homes Mississippi, Prenatal High Risk Mothers Program (PHRM) military families and referrals from alternative schools. Participation in all programs shall be voluntary, with the exception of those under court order. In order to ensure voluntary participation, all program recruiters and presenters will receive training on appropriate client recruitment and program promotion. Families and children are in need of regular events such as speakers, workshops, and presentations on topics that are easily accessible in their communities (churches, local DHS offices, schools). Additionally, families are in need of a central location for the dissemination of information and linkage to support services that align to the individual need or where referrals can be sought for services that are otherwise unknown. Families First Resource Centers stand in the gap, providing services, acting as a conduit to local community support and stakeholders and serving as a liaison to the improved family unit. In addition, the FFRC provides services “on-the-ground” in the communities where the potential participants reside thereby making access easier. The FFRC also promotes activities and awareness campaigns in these communities, such as Healthy Marriage Week, Child Abuse Prevention Month, National Fatherhood Month and Teen Pregnancy Prevention Month where valuable information can be distributed and a network to additional services can be established. A “value-added” service of FFRCs is the resource referral library that is maintained at each center location which serves as a repository of valuable information that is free and accessible. Goals and Objectives MCEC’s Families First Resource Center program will accomplish its overarching goals through carefully developed and aligned objectives designed to address the identified needs. Each objective is clearly described, specific, measureable and ambitious yet attainable. Adequate progress toward each objective will be measured through pre/post assessments and evaluation of the provider (contract or partner) via MCEC’s proprietary online evaluation system. 1. Reduce the number of adolescents who may begin or who have already engaged in premarital sexual activity; 2. Encourage students to perform more successfully academically; 3. Encourage participant youth to plan future goals, promote self-esteem and self-worth; 4. Strengthen attitudes and expectations towards family, community and citizenship; 5. Provide families and their children with life skills trainings and workshops; and 8. Increase awareness of the importance of parenting skills, abstinence-until-marriage, and youth development. The objectives will be accomplished through the following activities and deliverables: Objective 1: Positive Youth Development/Abstinence Education Model Activities: Utilizing needs assessments of the communities, MCEC will develop a plan tailored to the specific county within the parameters of the proposal and will implement a culturally competent delivery plan based on information gathered. MCEC will complement existing school-based programs as well as after-school supplemental programs to provide youth development/abstinence education programs which include: character education, bullying, selfesteem, at-risk behaviors (drug, tobacco and alcohol education), and personal goal setting/life skills programs in addition to abstinence education. Additionally, FFRC staff will facilitate life programming with faith-based organizations, community-based organizations and in the FFRCs located in the proposed county service area. Adolescents are faced with a multitude of difficult choices in a society where violence, drugs, sex and dangerous behaviors are glamorized. This objective will empower students to help others make the right choices about premarital sex. Empowerment leads to improved self-esteem and encourages feelings of acceptance and camaraderie while promoting positive character. The abstinence education program will include two (2) nationally recognized curriculums, Choosing the Best and Scott and White’s Worth the Wait, in addition Making A Difference! (Southeast Mississippi Rural Health Initiative Curriculum). The curriculum will be age-appropriate and will meet the Title V Abstinence Definition and will be medically accurate. The project will require the hiring of full and parttime staff and trainers to facilitate the programs in the targeted counties. Participating youth will complete a minimum of 8 hours of programming. Expected Outcomes:           Increased number of youth ages 8-19 receiving abstinence-until-marriage education; Increased number of at-risk students receiving abstinence education services; Delivery of a comprehensive plan of abstinence education within each region; Partnership with extended day and after-school programs targeting at-risk youth; Promote the benefit of staying in school to targeted youth; Prevent and reduce the use of alcohol, drug and tobacco products, Prevention of youth-court interventions, Supplement existing peer relationship programs to build long-term, beneficial relationships that promote freedom of expression, mutual trust to ask questions, and create positive role models; Build character and self-esteem of participant youth through self-concept change, conflict resolution, and relationship development; and A noticeable reduction in the number of adolescents who indicate they will not begin or continue to engage in premarital sexual activities measured through a repeated measures analysis of variance test. Objective 2: Family Life Skills Program Family Life Skills programs will specifically focus on adults, new parents, newly engaged couples, family units and those designated for court-ordered trainings, in addition to married couples. Family Life Skills programs will be inclusive of Parenting Education, Family Development, Cooperative Parenting, Children in the Middle, Life Skills, Job Readiness and Financial Literacy Education MCEC will utilize the MDHS approved intake form to determine eligibility of potential participants. The Family Wellness Associate Curriculum was chosen specifically for its diverse offering and unique delivery. It effectively addresses many topics, such as: life skills, planning, financial skills, relations skills, mediation, and family unit conflict resolution. Additionally, MCEC will utilize relationships with community stakeholders to provide participants with useful supplemental programming such as: United Way Affiliates Free Tax Information, Family Wellness and Nutrition from partnerships established through MCEC’s Mississippi Health Collaborative Program and useful information on schooling and schoolrelated topics dealing with children from MCEC’s partnership with New Learning Resources, TANF, SNAP, and Employment and Job Training Services. In addition to each site’s Resource library and Resource Guide. In addition, Families First will supplement Parenting programs with Fatherhood curriculum which will specifically focus on education, encouragement and assistance for fathers in becoming knowledgeable in the essential role they play in the development, growth and nurturing of their children. Specifically, MCEC will impart information on fathers becoming “Team Parents” through the 24/7 Dads curriculum from the National Father Institute. Family Life Skills classes will have a standard twenty completion and will be offered in five components that consist of effective parenting skills, fatherhood, conflict resolution, healthy relationships, soft skills, and life skills. Each component will consist of four hours and may be taken independently. Participants ordered to take the co- parenting education class will be considered completed at ten hours. Participants with court orders or individual service plans that stipulate a specific number of hours, not to be lower than ten; referral source request more hours in a component; or those that are not appropriate to complete all components following and assessment will also be considered complete. Expected Outcomes:            Parents will understand the benefits of appropriately disciplining their children; Increased family communication skills; Parents will exhibit a better understanding of children’s self-esteem and self worth; Marked attitudinal changes of participants toward marriage and relationships; and Couples will exhibit increased awareness of their roles in improving the outcomes for their family and their children. Activities will include rallies, media events, health fairs, presentations, workshops, trainings and information tables. The concept is to provide parents and parents-to-be with vital information on the cognitive and physical development from pre-birth to the teenage years. Resource Library and Resource Referral guides will be available in each center. This will be accomplished though implementation of Eight Habits of a Healthy Marriage curriculum to nonmarried expectant couples, expectant fathers or mothers, or couples considering marriage. Life skills and associated content through the implementation of the following curriculum based programs: Planning Financial Literacy, MS Real Entrepreneurial Education Program, Soft Skills development, Career Assessment Survey, and Job Readiness Programs and Presentations. Included in the curricular delivery are seminar style presentations on Career Portfolio Development and Job Preparedness which includes, resume writing/development, dress for success, mock interview, career assessment and goal setting through Learnovation’s Basic Job Skills and Life Skills as a standard delivery component. MCEC will maintain a central office location at 1417 Lelia Drive, Jackson, MS 39216, which will serve as the administrative office for the program. The central office will operate year-round, a minimum of five (5) days per week, eight (8) hours per day, with flexible, non-traditional hours for the provision of services that are available according to school and work schedules. Additionally, a physical office will be available within each of the lead center counties. All partner sites/contract sites will operate in accordance with the standard hours of operation. FFRC activities will be provided at DHS county offices on a recurring basis; with a targeted minimum goal of once per month with the exception of tier 4 counties where services will be rendered as requested. Additionally, MCEC will continue to provide services on-site with community partners. These services may include faith-based organizations, local schools and school districts, community organizations and after-school programs as noted in letters of support and agreement. TRAINING AND DEVELOPMENT MCEC maintains a highly qualified and skilled staff for services rendered under the Families First Resource Center programs. MCEC will conduct a two-day training session on Parenting/Domestic Violence and Abstinence/Youth Development/Dropout Prevention as well as an FFRC general training session. Program training for all staff or staff resulting from contracts or partnerships to provide services under this project will be held prior in the first quarter of the contract. This staff training is to ensure that all staff members are trained on the same policies and procedures that have made MCEC a reliable, successful provider of FFRC services for the last fifteen (15) years. Training sessions will include: program delivery, accountability, evaluation and assessment, quality of service provision, contact development, participant recruitment, financial responsibility, paperwork and data collection and building and sustaining youth development programs. Statement on Cultural Competence and Diversity Internal Cultural Competency and Diversity Practices MCEC and FFRC seek staff members that are committed to their community, represent a variety of cultural backgrounds, and are capable of communicating in cross-cultural situations. Specific trainings identified include:  CAC Cultural Diversity Training In addition, MCEC has identified that The National Center for Cultural Competence (NCCC) maintains a database of a wide range of resources on cultural and linguistic competence (e.g. demographic information, policies, practices, articles, books, research initiatives and findings, curricula, multimedia materials and websites, etc.) The NCCC uses specific review criteria for the inclusion of these resources. As part of the NCCC’s web-based resources, an online resource database for self-study is also available for use by FFRC staff: https://www.4.georgetown.edu/research/gucchd/nccc/app/resources/index.cfm Staff are required to attend quarterly staff development meetings where-in trainings are conducted on curriculum, domestic violence, professional development, various group exercises and a myriad of other team building exercises. MCEC will send the program coordinator and lead trainer to DHS required curriculum trainings for valuable training will then be passed on to staff members during the quarterly staff meetings. Domestic Violence and Child Maltreatment MCEC has partnered with Brandy Rea (LPC), Director of MCEC’s Children’s Advocacy Centers, on program safety plans as well as assisting in staff development schedule specific to child maltreatment and domestic violence. This will include review of procedures for safely handling situations that arise in the provision of services related to children and families. For those in need of domestic violence counseling or further, more in depth assistance, MCEC will refer to three organizations: Catholic Charities, MCEC’s own Violence Against Women (VAWA) program and Victims of Crime Program (VOCA) and the designated Mental Health Provider for each Region. Together these three organizations encompass the pertinent counties. If there is any indication of violence in a relationship, per the established protocol MCEC staff will refer clients to a representative of the proper organization depending on their location within the proposed service area. Catholic Charities receives referrals through existing agreement. This organization has long served families who suffer from domestic violence, offering services such as counseling, court advocacy, legal assistance, and shelter. MCEC will refer suspected cases of child maltreatment, neglect and abuse to its own Children’s Advocacy Center (CAC), or one of 16 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 the partnering Children’s Advocacy Centers in addition to the Child Abuse Hotline as required by State Law. These Community Coalition Boards are made up of various professionals, community leaders, parents and youth who will meet on a quarterly basis in each region. They are encouraged to participate in program seminars, rallies, and retreats, as well as recruit other community members for support and membership. These committees also further the sustainability of the program by providing a core group of area volunteers dedicated to the MCEC County Families First Resource Center. Stakeholders and community partners help to maximize area support for the Families First Resource Center programs through their local contacts. These community relationships will facilitate larger numbers of clients and more program sites. MCEC will leverage its status as a Mississippi Department of Education 21st Century Learning Center to partner with other 21st Century Learning Centers after-school programs in the proposed county service areas. Through partnership with these programs MCEC will offer dropout prevention programs, youth development programs, and peer-to-peer mentoring programs in addition to educational support services for at-risk youth and their families. COLLABORATIONS and MAINTAINING PARTICIPATION MCEC will coordinate with various state agencies, faith-based and community organizations in the implementation of this grant. Additionally, MCEC will leverage its currently funded and pending funded programs to create strategic partnerships where program goals align and there is benefit to the participant. Current programs that fit this description include: You’ve Gotta Move (statewide), Mississippi Tobacco Free Coalition, 21st Century Learning Center, National Literacy Foundation, Delta Health Collaborative, Violence Against Women Program, Children’s Advocacy Centers, Job Corp programs, Mississippi Arts 17 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9 Commission, Childhood Lead Poison Prevention Program, STOP Bullying Now, and MS REAL Entrepreneurial Education program. MCEC proposes an innovative, coordinated marketing plan targeting the southern region (which can be coordinated with the northern region) to market and recruit participants. The marketing plan for this project has been designed to reach local and regional audiences with both special and general interests in teenage pregnancy prevention, dropout prevention, interest in non-traditional academic options, and people with an interest in the success of families. A schedule of all activities will be maintained on the website. In addition, see the scope of work for details on monthly media campaigns to be hosted. Finally, MCEC will also assist DHS in the promotion of awareness and events (Healthy Marriage, Child Abuse Prevention, etc). Maintaining participation in classes will be facilitated through service agreements with referring agencies, completion certificates for participants that complete the requisite number of hours, maintaining flexible service hours for participation. Additionally, participant input is solicited in the data collection process through anecdotal response and survey to gather information on the program from the participant perspective. EVALUATION MCEC will provide access to its proprietary web-based data tracking and evaluation tool. All partnering organizations, staff members and contract staff will enter collected data into the data tracking system remotely. Administrative staff will conduct analysis and validity testing of entered data on a monthly and quarterly base to ensure accuracy of the data and quality of service provision. Review of service quality and adequate progress to scope of work will be used to ensure contract providers or partners are meeting the standard of MCEC and the FFRC program. Process evaluation will be completed utilizing a system that tracks the activities and progress of each program element. Project staff will utilize the tracking system to provide data to the required entities for annual assessment of program effectiveness. Interviews with a random sample of teachers, parents, students, and other service providers will be conducted to assess their perceptions of the effectiveness of the project activities. Themes for conducting interviews and formulating open-ended questions will include: (a) goal setting and management practices, (b) strong involvement of families, and (c) community-based partnerships. The evaluation design and methodology addresses process, assessment of outcomes, and program impact. A variety of methods will be used to gather data, including:  Frequent surveys containing both closed-ended items and open-ended questions regarding understanding of the benefits of character.  Sign-in Rosters that verify program participants who successfully complete elements of the program;  Assessment to determine effectiveness of program staff in assisting parents in meeting their goals; and 18 DocuSign Envelope ID: 2B921251-46C4-4813-BF4A-A40EC41B99FD EC7C1CF7-188F-4CE1-BE83-8B6CE15862A9  Formal and informal observations by project staff, school staff and an advisory committee. This evaluation system is comprised of both formative and summative evaluation components. The following tools will be used for data collection: 1. Quarterly Implementation Progress Reports (QIPRs): The QIPR serves as a qualitative report on the program’s activities and barriers related to achieving the overall program goals. The QIPR is used to record the history of the program, including any events that occur in the school or community that may influence the program participants. 2. Community Education Information Reports (CEIRs): The CEIR serves as a way to capture basic information on activities and audiences that are very diverse in nature. Community education is defined as one-time or short-term program where it is impractical or unfeasible to capture attendance data (or for short series of sessions where there is no expectation that the same participants will return for each session). 3. Intervention Project Attendance Reports (IPARs): Intervention projects are defined as projects where there is an expectation that individuals will be “enrolled” into a planned approach or curriculum that includes multiple contacts where the information in each subsequent session builds upon information that has been covered previously. Data from each survey item will be analyzed and outcomes for the program period (weekly/monthly/quarterly/annually) will be reported, analyzed and compared for evaluation reports. Documentation of all services offered will be kept on file. Activity reports, time sheets and mileage sheets will be kept on file for all staff personnel. Accounting records will be kept at all contractual sites and the main operational site. The Subgrantee shall provide an updated community needs assessment to MDHS/DFFS by December 2016. The Subgrantee shall provide monthly calendars or access to events from all subcontractor locations including the date, time, location, address, and telephone number by the 20th of the month for the following month. The Subgrantee shall conduct internal evaluation/monitoring to assess the extent to which the Program’s objectives are being met. Subgrantee shall document the progress/evaluation of their program on a quarterly basis, utilizing the participant’s sign-in sheet and the intake form developed by MDHS along with the computer based program developed by the FRC. The subgrantee shall enter the information in a computer based system to generate quarterly reports of participants served. A comprehensive report shall be compiled and submitted quarterly to MDHS, Division of Family Foundation and Support, Foundation for Families Unit, P.O. Box 352, Jackson, MS 39205 or via email to foundationforfamilies@mdhs.ms.gov. Quarterly reports are due on or before the 15th of the month following the last report month. MCEC was established in Mississippi on the campus of the University of Southern Mississippi in 1975 by a Mott Foundation Grant through the National Community Education Center. MCEC has served as a Families First Resource Center for over 14 years, consistently meeting or exceeding its goals and objectives annually. MCEC’s mission is to strengthen communities by serving the educational, social, and wellness needs of its children and families through programs for all ages. These include parenting programs, fatherhood initiatives, healthy marriage programs, and abstinenceonly and character education, after-school programs, alternative and adult education, and early childhood programs. DHS also agrees to provide to the Employer anti-discrimination notices issued by the Office of Special Counsel for Immigration-Related Unfair Employment Practices (080), Civil Rights Division, US. Department of Justice. 5. DHS agrees to issue the Employer a user identification number and password that permits the Employer to verify information provided by employees with DHS's database. 6. DHS agrees to safeguard the information provided to DHS by the Employer, and to limit access to such information to individuals responsible for the veri?cation of employees? employment eligibility and for evaluation of the E-Verify program, or to such other persons or entities as may be authorized by applicable law. DHS agrees to provide a means of automated veri?cation that is designed (in conjunction with SSA veri?cation procedures) to provide con?rmation or tentative noncon?rmation of employees' employment eligibility within 3 Federal Government work days of the initial inquiry. 8. DHS agrees to provide a means of secondary verification (including updating DHS records as may be necessary) for employees who contest DHS tentative noncon?rmations and photo non- match tentative nonconfirmations that is designed to provide final con?rmation or noncon?rmation of the employees' employment eligibility within 10 Federal Government work days of the date of referral to DHS, unless DHS determines that more than 10 days may be necessary. In such cases, DHS will provide additional veri?cation instructions. C. RESPONSIBILITIES OF THE EMPLOYER 1. The Employer agrees to display the notices supplied by DHS in a prominent place that is clearly visible to prospective employees and all employees who are to be veri?ed through the system. 2. The Employer agrees to provide to the SSA and DHS the names, titles, addresses, and telephone numbers of the Employer representatives to be contacted regarding E-Verify. 3. The Employer agrees to become familiar with and comply with the most recent version of the E-Verify User Manual. 4. The Employer agrees that any Employer Representative who will perform employment veri?cation queries will complete the E-Verify Tutorial before that individual initiates any queries. A. The Employer agrees that all Employer representatives will take the refresher tutorials initiated by the E-Verify program as a condition of continued use of E-Verify. B. Failure to complete a refresher tutorial will prevent the Employer from continued use of the program. 5. The Employer agrees to comply with current Form I-9 procedures, with two exceptions: - If an employee presents a "List identity document, the Employer agrees to only accept "List documents that contain a photo. (List documents identified in 8 C.F.R. can be presented during the Form I-9 process to establish identity.) If an employee objects to the photo requirement for religious reasons, the Employer should contact E-Verify at 888-464-4218. - If an employee presents a DHS Form I-551 (Permanent Resident Card) or Form l-766 (Employment Authorization Document) to complete the Form l-9, the Employer agrees to make a photocopy of the document and to retain the photocopy with the employee?s Form I-9. The Employer understands that participation in E-Verify does not exempt the Employer from the responsibility to complete, retain, and make available for inspection Forms l-9 that relate to its employees, or from other requirements of applicable regulations or laws, including the obligation to comply with the antidiscrimination requirements of section 2748 of the INA with respect to Form procedures, except for the following modi?ed requirements applicable by reason of the Employer's participation in E-Verify: (1) identity documents must have photos, as described in paragraph 5 above; (2) a rebuttable presumption is established that the Employer has not violated section of the Immigration and Nationality Act (INA) with respect to the hiring of any individual if it obtains confirmation of the identity and employment eligibility of the individual in good faith compliance with the terms and conditions of E-Verify; (3) the Employer must notify DHS if it continues to employ any employee after receiving a ?nal nonconfirmation, and is subject to a civil money penalty between $550 and $1,100 for each failure to notify DHS of continued employment following a ?nal nonconfirmation; (4) the Employer is subject to a rebuttable presumption that it has knowingly employed an unauthorized alien in violation of section if the Employer continues to employ an employee after receiving a ?nal noncon?rmation; and (5) no person or entity participating in E-Verify is civilly or criminally liable under any law for any action taken in good faith based on information provided through the confirmation system. DHS reserves the right to conduct Form l-9 and E-Verify system compliance inspections during the course of E?Verify, as well as to conduct any other enforcement activity authorized by law. 7. The Employer agrees to initiate E-Verify verification procedures for new employees within 3 Employer business days after each employee has been hired (but after the Form l-9 has been completed), and to complete as many (but only as many) steps of the E-Verify process as are necessary according to the E-Verify User Manual, or in the case of Federal contractors with the FAR E-Verify clause, the E-Verify User Manual for Federal Contractors. The Employer is prohibited from initiating veri?cation procedures before the employee has been hired and the Form l-9 completed. If the automated system to be queried is temporarily unavailable, the 3-day time period is extended until it is again operational in order to accommodate the Employer's attempting, in good faith, to make inquiries during the period of unavailability. Employers may initiate veri?cation by notating the Form l-9 in circumstances where the employee has applied for a Social Security Number (SSN) from the SSA and is waiting to receive the SSN, provided that the Employer performs an E-Verify employment verification query using the employee?s SSN as soon as the SSN becomes available. 8. The Employer agrees not to use E-Verify procedures for pre-employment screening of job applicants, in support of any unlawful employment practice, or for any other use not authorized by this MOU. Employers must use E-Verify for all new employees, unless an Employer is a Federal contractor that quali?es for the exceptions described in Article Except as provided in Article MD, the Employer will not verify selectively and will not verify employees hired before the effective date of this MOU. The Employer agrees to follow appropriate procedures (see Article below) regarding tentative nonconfirmations, including notifying employees in private of the ?nding and providing them written notice of the ?ndings, providing written referral instructions to employees, allowing employees to contest the finding, and not taking adverse action against employees if they choose to contest the finding. Further, when employees contest a tentative nonconfirmation based upon a photo non-match, the Employer is required to take af?rmative steps (see Article below) to contact DHS with information necessary to resolve the challenge. 10. The Employer agrees not to take any adverse action against an employee based upon the employee's perceived employment eligibility status while SSA or DHS is processing the veri?cation request unless the Employer obtains knowledge (as defined in 8 C.F.R. that the employee is not work authorized. The Employer understands that an initial inability of the SSA or DHS automated veri?cation system to verify work authorization, a tentative nonconfirmation, a case in continuance (indicating the need for additional time for the government to resolve a case), or the finding of a photo non-match, does not establish, and should not be interpreted as evidence, that the employee is not work authorized. In any of the cases listed above, the employee must be provided a full and fair opportunity to contest the ?nding, and if he or she does so, the employee may not be terminated or suffer any adverse employment consequences based upon the employee?s perceived employment eligibility status (including denying, reducing, or extending work hours, delaying or preventing training, requiring an employee to work in poorer conditions, refusing to assign the employee to a Federal contract or other assignment, or othenNise subjecting an employee to any assumption that he or she is unauthorized to work) until and unless secondary veri?cation by SSA or DHS has been completed and a ?nal nonconfirmation has been issued. If the employee does not choose to contest a tentative noncon?rmation or a photo non-match or if a secondary veri?cation is completed and a final noncon?rmation is issued, then the Employer can ?nd the employee is not work authorized and terminate the employee?s employment. The Employer agrees to comply with Title VII of the Civil Rights Act of 1964 and section 2748 of the INA, as applicable, by not discriminating unlawfully against any individual in hiring, firing, or recruitment or referral practices because of his or her national origin or, in the case of a protected individual as defined in section 274B(a)(3) of the INA, because of his or her citizenship status. The Employer understands that such illegal practices can include selective veri?cation or use of E-Verify except as provided in part below, or discharging or refusing to hire employees because they appear or sound ?foreign? or have received tentative nonconfirmations. The Employer further understands that any violation of the unfair immigration- related employment practices provisions in section 2748 of the INA could subject the Employer to civil penalties, back pay awards, and other sanctions, and violations of Title VII could subject the Employer to back pay awards, compensatory and punitive damages. Violations of either section 2748 of the INA or Title VII may also lead to the termination of its participation in E- Verify. The Employer agrees that it will use the information it receives from SSA or DHS pursuant to E-Verify and this MOU only to confirm the employment eligibility of employees as authorized by this MOU. The Employer agrees that it will safeguard this information, and means of access to it (such as PINS and passwords) to ensure that it is not used for any other purpose and as necessary to protect its con?dentiality, including ensuring that it is not disseminated to any person other than employees of the Employer who are authorized to perform the Employer's responsibilities under this MOU, except for such dissemination as may be authorized in advance by SSA or DHS for legitimate purposes. 14. The Employer acknowledges that the information which it receives from SSA is governed by the Privacy Act (5 U.S.C. 552a(i)(1) and and the Social Security Act (42 U.S.C. 1306(a)), and that any person who obtains this information under false pretenses or uses it for any purpose other than as provided for in this MOU may be subject to criminal penalties. 15. The Employer agrees to cooperate with DHS and SSA in their compliance monitoring and evaluation of E-Verify, including by permitting DHS and SSA, upon reasonable notice, to review Forms l-9 and other employment records and to interview it and its employees regarding the Employer?s use of E-Verify, and to respond in a timely and accurate manner to DHS requests for information relating to their participation in E-Verify. D. RESPONSIBILITIES OF FEDERAL CONTRACTORS WITH THE FAR E-VERIFY CLAUSE 1. The Employer understands that if it is a subject to the employment veri?cation terms in Subpart 22.18 of the FAR, it must verify the employment eligibility of any existing employee assigned to the contract and all new hires, as discussed in the Supplemental Guide for Federal Contractors. Once an employee has been veri?ed through E-Verify by the Employer, the Employer may not reverify the employee through E-Verify. a. Federal contractors with the FAR E-Verify clause agree to become familiar with and comply with the most recent versions of the E-Verify User Manual for Federal Contractors and the E-Verify Supplemental Guide for Federal Contractors. b. Federal contractors with the FAR E-Verify clause agree to complete a tutorial for Federal contractors with the FAR E-Verify clause. c. Federal contractors with the FAR E-Verify clause not enrolled at the time of contract award: An Employer that is not enrolled in E-Verify at the time of a contract award must enroll as a Federal contractor with the FAR E?Verify clause in E?Verify within 30 calendar days of contract award and, within 90 days of enrollment, begin to use E-Verify to initiate veri?cation of employment eligibility of new hires of the Employer who are working in the United States, whether or not assigned to the contract. Once the Employer begins verifying new hires, such veri?cation of new hires must be initiated within 3 business days after the date of hire. Employers that are already enrolled in E-Verify at the time of a contract award but are not enrolled in the system as a Federal contractor with the FAR E-Verify clause: Employers enrolled in E-Verify for 90 days or more at the time of a contract award must use E-Verify to initiate verification of employment eligibility for new hires of the Employer who are working in the United States, whether or not assigned to the contract, within 3 business days after the date of hire. Employers enrolled in E-Verify as other than a Federal contractor with the FAR E-Verify clause, must update E-Verify to indicate that they are a Federal contractor with the FAR E- Verify clause within 30 days after assignment to the contract. If the Employer is enrolled in E- Verify for 90 calendar days or less at the time of contract award, the Employer must, within 90 days of enrollment, begin to use E?Verify to initiate verification of new hires of the contractor who are working in the United States, whether or not assigned to the contract. An Employer enrolled as a Federal contractor with the FAR E-Verify clause in E-Verify must initiate veri?cation of each employee assigned to the contract within 90 calendar days after date of contract award or within 30 days after assignment to the contract, whichever is later. e. Institutions of higher education, State, local and tribal governments and sureties: Federal contractors with the FAR E-Verify clause that are institutions of higher education (as defined at 20 U.S.C. 1001(a)), State or local governments, governments of Federally recognized Indian tribes, or sureties performing under a takeover agreement entered into with a Federal agency pursuant to a performance bond may choose to only verify new and existing employees assigned to the Federal contract. Such Federal contractors with the FAR E-Verify clause may, however, elect to verify all new hires, and/or all existing employees hired after November 6, 1986. The provisions of Article paragraphs 1.a and 1.b of this MOU providing timeframes for initiating employment veri?cation of employees assigned to a contract apply to such institutions of higher education, State, local and tribal governments, and sureties. f. Verification of all employees: Upon enrollment, Employers who are Federal contractors with the FAR E-Verify clause may elect to verify employment eligibility of all existing employees working in the United States who were hired after November 6, 1986, instead of verifying only new employees and those existing employees assigned to a covered Federal contract. After enrollment, Employers must elect to do so only in the manner designated by DHS and initiate E- Verify veri?cation of all existing employees within 180 days after the election. 9. Form l-9 procedures for existing employees of Federal contractors with the FAR E- Verify clause: Federal contractors with the FAR E-Verify clause may choose to complete new Forms l-9 for all existing employees other than those that are completely exempt from this process. Federal contractors with the FAR E-Verify clause may also update previously completed Forms l-9 to initiate E-Verify verification of existing employees who are not completely exempt as long as that Form l?9 is complete (including the SSN), complies with Article the employee?s work authorization has not expired, and the Employer has reviewed the information reflected in the Form l-9 either in person or in communications with the employee to ensure that the employee?s stated basis in section 1 of the Form l-9 for work authorization has not changed (including, but not limited to, a lawful permanent resident alien having become a naturalized US. citizen). If section 1 of the Form l-9 is otherwise valid and up-to- date and the form otherwise complies with Article ll.C.5, but re?ects documentation (such as a US. passport or Form l-551) that expired subsequent to completion of the Form l-9, the Employer shall not require the production of additional documentation, or use the photo screening tool described in Article ll.C.5, subject to any additional or superseding instructions that may be provided on this subject in the Supplemental Guide for Federal Contractors. Nothing in this section shall be construed to require a second veri?cation using E-Verify of any assigned employee who has previously been veri?ed as a newly hired employee under this MOU, or to authorize veri?cation of any existing employee by any Employer that is not a Federal contractor with the FAR E-Verify clause. 2. The Employer understands that if it is a Federal contractor with the FAR E-Verify clause, its compliance with this MOU is a performance requirement under the terms of the Federal contract or subcontract, and the Employer consents to the release of information relating to compliance with its veri?cation responsibilities under this MOU to contracting of?cers or other officials authorized to review the Employer?s compliance with Federal contracting requirements. ARTICLE REFERRAL OF INDIVIDUALS TO SSA AND DHS A. REFERRAL TO SSA 1. If the Employer receives a tentative noncon?rmation issued by SSA, the Employer must print the notice as directed by the E-Verify system and provide it to the employee so that the employee may determine whether he or she will contest the tentative noncon?rmation. The Employer must review the tentative noncon?rmation with the employee in private. 2. The Employer will refer employees to SSA field offices only as directed by the automated system based on a tentative noncon?rmation, and only after the Employer records the case veri?cation number, reviews the input to detect any transaction errors, and determines that the employee contests the tentative noncon?rmation. The Employer will transmit the Social Security Number to SSA for veri?cation again if this review indicates a need to do so. The Employer will determine whether the employee contests the tentative noncon?rmation as soon as possible after the Employer receives it. 3. If the employee contests an SSA tentative noncon?rmation, the Employer will provide the employee with a system-generated referral letter and instruct the employee to visit an SSA office within 8 Federal Government work days. SSA will electronically transmit the result of the referral to the Employer within 10 Federal Government work days of the referral unless it determines that more than 10 days is necessary. The Employer will determine whether the employee contests the tentative noncon?rmation as soon as possible after the Employer receives it. 4. If the employee contests a tentative noncon?rmation issued by DHS, the Employer will provide the employee with a referral letter and instruct the employee to contact DHS through its toll-free hotline (as found on the referral letter) within 8 Federal Government work days. 5. If the employee contests a tentative noncon?rmation based upon a photo non?match, the Employer will provide the employee with a referral letter to DHS. DHS will electronically transmit the result of the referral to the Employer within 10 Federal Government work days of the referral unless it determines that more than 10 days is necessary. The Employer agrees to check the E- Verify system regularly for case updates. 6. The Employer agrees that if an employee contests a tentative nonconfirmation based upon a photo non-match, the Employer will send a copy of the employee?s Form l-551 or Form l-766 to DHS for review by: - Scanning and uploading the document, or - Sending a photocopy of the document by an express mail account (paid for at employer expense). 7. If the Employer determines that there is a photo non-match when comparing the photocopied List document described in Article ll.C.5 with the image generated in E-Verify, the Employer must forward the employee?s documentation to DHS using one of the means described in the preceding paragraph, and allow DHS to resolve the case. To access E- Verify, an Employer will need a personal computer with Internet access. ARTICLE PARTIES A. This MOU is effective upon the signature of all parties, and shall continue in effect for as long as the SSA and DHS conduct the E-Verify program unless modi?ed in writing by the mutual consent of all parties, or terminated by any party upon 30 days prior written notice to the others. Any and all system enhancements to the E-Verify program by DHS or SSA, including but not limited to the E-Verify checking against additional data sources and instituting new veri?cation procedures, will be covered under this MOU and will not cause the need for a supplemental MOU that outlines these changes. DHS agrees to train employers on all changes made to E- Verify through the use of mandatory refresher tutorials and updates to the E-Verify User Manual, the E-Verify User Manual for Federal Contractors or the E-Verify Supplemental Guide for Federal Contractors. Even without changes to E-Verify, DHS reserves the right to require employers to take mandatory refresher tutorials. An Employer that is a Federal contractor with the FAR E-Verify clause may terminate this MOU when the Federal contract that requires its participation in E-Verify is terminated or completed. In such a circumstance, the Federal contractor with the FAR E-Verify clause must provide written notice to DHS. If an Employer that is a Federal contractor with the FAR E-Verify clause fails to provide such notice, that Employer will remain a participant in the E-Verify program, will remain bound by the terms of this MOU that apply to participants that are not Federal contractors with the FAR E-Verify clause, and will be required to use the E-Verify procedures to verify the employment eligibility of all newly hired employees. B. Notwithstanding Article V, part A of this MOU, DHS may terminate this MOU if deemed necessary because of the requirements of law or policy, or upon a determination by SSA or DHS that there has been a breach of system integrity or security by the Employer, or a failure on the part of the Employer to comply with established procedures or legal requirements. The Employer understands that if it is a Federal contractor with the FAR E-Verify clause, termination of this MOU by any party for any reason may negatively affect its performance of its contractual responsibilities. C. Some or all SSA and DHS responsibilities under this MOU may be performed by contractor(s), and SSA and DHS may adjust veri?cation responsibilities between each other as they may determine necessary. By separate agreement with DHS, SSA has agreed to perform its responsibilities as described in this MOU. D. Nothing in this MOU is intended, or should be construed, to create any right or bene?t, substantive or procedural, enforceable at law by any third party against the United States, its agencies, officers, or employees, or against the Employer, its agents, of?cers, or employees. Described below are the terms and conditions for providing to you such notices and disclosures electronically through your DocuSign, Inc. (DocuSign) Express user account.
