The undersigned, acting as incorporator of a professional corporation organized under the
Iowa Professional Corporation Act, Chapter 496C, hereby adopts the following Articles of

Incorporation for such corporation:

ARTICLE I
NAME

The name of this corporation is LTJ S: Services, Inc.
ARTICLE II.
PURPOSES
The purpose for which the corporation is organized is to engage in the practice of running
of bars/taverns/poolhalls and to do any lawful act that may be necessary, convenient, or
incidental to said practice.

ARTICLE 
AUTHORIZED SHARES

 

The number of shares the corporation is authorized to issue is two consisting of one

class of common stock. Said shares of stock shall have no par value.

AMENDMENT OF BYLAWS

 

In addition to the general powers provided under the laws of the State of Iowa, the Board
of Directors is expressly authorized and empowered to adopt, alter, amend, or repeal the Bylaws
of the corporation, subject to the provisions of these Articles of Incorporation and applicable law.

ARTICLE VII.
NON-LIABILITY OF DIRECTORS

 

A director of this corporation shall not be personally liable to the corporation or its
shareholders for monetary damages for breach of ?duciary duty as a director, except for liability
for any breach of the director?s duty of loyalty to the corporation or its shareholders, for
acts or omissions not in good faith or which involve intentional misconduct or knowing violation
of the law, for any transaction from which the director derived an improper personal bene?t,

for any unlawful distribution voted for or assented to by a director, or for the failure of the

direction to comply with the standards of conduct for directors set forth under section 490.833 of
the Code of Iowa. If applicable state law is amended after the effective date of these Articles to
authorize the further elimination or limitation of the liability of directors, then the liability of
directors shall be eliminated or limited to the full extent authorized by such amendment. No
amendment to or repeal of this Article shall apply to or have any effect on the liability or alleged
liability of any director of the corporation for or with respect to any acts or omissions of such
director occurring prior to such amendment or appeal.
