AMENDMENT #1 TO LICENSE AGREEMENT FOR USE OF ADDITIONAL ALARIS HEALTH LONG TERM CARE FACILITIES This Amendment #1 to License Agreement is between the Department of Health, State of New Jersey (hereinafter referred to as the “State”) with its principal offices at 369 S. Warren Street, Trenton, New Jersey 08608, as Licensee and Alaris Health at Hamilton Park, LLC, a New Jersey limited liability company (“Alaris”) doing business in New Jersey with its principal offices located at 175 Belgrove Drive, Kearny, New Jersey, 07032, (collectively referred to as the “Parties”). WITNESSETH WHEREAS, the Parties entered into a License Agreement dated April 24, 2020 (the “License”), pursuant to which License granted unto Licensee, its agents, contractors, and assigns, the use of certain property identified as Alaris, located at 525 Monmouth Street, Jersey City, New Jersey 07302, designated as Lot 8501 in Block 3 on the Tax Map of the City of Jersey City (the “LICENSED PREMISES”) as shown on Exhibit 1 attached to the License for the care, sheltering, and treatment of patients who have tested positive for COVID-19 and require long-term care outside of a hospital setting; and WHEREAS, the LICENSED PREMISES is currently being used to care for, shelter and treat patients who have tested positive for COVID-19 and require long-term care outside of a hospital setting; and WHEREAS, pursuant to Paragraph 2.4 of the License, Licensee may request a change in the use of the LICENSED PREMISES, particularly so if such request is deemed necessary for public health, welfare, and safety; and WHEREAS, due to the ongoing nature of the COVID-19 public health emergency within the State and due to ongoing increases in the number of cases of COVID-19 patients in long-term care facilities throughout the State which are impacting public health, welfare, and safety, the Parties agree it is now necessary to designate two additional Alaris facilities for the care, sheltering, and treatment of patients who have tested positive for COVID-19 and require long-term care outside of a hospital setting; and WHEREAS, prior to the execution of Amendment #1 to the License, the State authorized Alaris via telephone on April 10, 2020 to convert two facilities to the sole care, sheltering and treatment of long-term care patients who have tested positive for COVID-19 and to move, as necessary, other long-term care patients who had not tested positive for COVID-19 from the two additional authorized facilities to prevent further spread of COVID-19; and WHEREAS, the property known as Alaris Health at the Chateau, located at 96 Parkway, Rochelle Park, New Jersey 07662, designated as Lot 1 in Block 18.01 on the Tax Map of the Township of Rochelle Park and depicted on Exhibit 3, received authorization from the State on April 10, 2020 to convert the facility to the sole care, sheltering, and treatment of long term care patients who had tested positive for COVID-19 and began accepting such patients pursuant to the authorization; and WHEREAS, the property known as Care Connection Rahway (“Care Connection”), located at 865 Stone Street, Rahway, New Jersey, 07065, 4th floor designated as Lot 1 in Block 1 183 on the Tax Map of the City of Rahway and depicted on Exhibit 4, received authorization from the State on April 10, 2020 to convert the facility to the sole care, sheltering, and treatment of long term care patients who had tested positive for COVID-19 and began accepting such patients pursuant to the authorization; and WHEREAS, it has been determined that Alaris Health at the Chateau and Care Connection (collectively “ADDITIONAL LICENSED PREMISES”) are appropriate additional facilities for the ongoing care, sheltering, and treatment of patients who have tested positive for COVID-19 pursuant to the terms of the License; and WHEREAS, the Parties wish to add the Additional Licensed Premises to the License for an initial period of 90 days from April 10, 2020, the date each Additional Licensed Premise received authorization from the State to convert the facility to caring, sheltering, and treating long term care patients who tested positive for COVID-19 (“Authorization Date”); and WHEREAS, on further review of the License, Alaris noted that the License was executed by Alaris Health at Hamilton Park, LLC, the “doing business as” moniker for Hamilton Park Opco, LLC, a New Jersey limited liability company that owns and operates the specific Licensed Facility covered under the License; and WHEREAS, Alaris Health at the Chateau is owned and operated by St. Cloud Rochelle Park, LLC; and WHEREAS, Care Connection is owned and operated by Care Connection Rahway, LLC; and WHEREAS, pursuant to Paragraph 10 of the License, the Parties wish to amend the License to include the use of Alaris Health at the Chateau and Alaris Care Connection identified in Exhibits 3 and 4 as ADDITIONAL LICENSED PREMISES, to amend the License with the legal name for Alaris Health at Hamilton Park, LLC, and to amend the License to include the aforementioned owners of Alaris Health at the Chateau and Alaris Care Connection as parties to the License. NOW, THEREFORE, in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows: 1. The License is hereby amended to include Alaris Health at the Chateau and Care Connection depicted in Exhibits 3 and 4 as ADDITIONAL LICENSED PREMISES, subject to all terms, protections, and conditions of the License. 2. The License is hereby amended to include St. Cloud Rochelle Park, LLC and Care Connection Rahway, LLC, as owners of the ADDITIONAL LICENSED PREMISES, as Licensors to the License and subject to all terms, protections, and conditions of the License. The License is further amended to substitute Hamilton Park Opco, LLC for Alaris Health at Hamilton Park, LLC solely to ensure the correct business name is utilized, with the understanding that Hamilton Park Opco, LLC was and continues to be subject to all terms, protections, and conditions of the License. 2 3. Paragraphs 2.2 through 2.6 of the License shall apply to the treatment facilities at the LICENSED PREMISES and ADDITIONAL LICENSED PREMISES treating both non-COVID-19 patients and COVID-19 patients. 6. Paragraph 7 of the License is hereby amended to add an initial 90 day term for each of the ADDITIONAL LICENSED PREMISES, which shall commence on the Authorization Date when each ADDITIONAL LICENSED PREMISE was authorized by the State to accept and consolidate long term care patients who had tested positive for COVID-19. Paragraph 7 of the License is further amended to include an initial 90 day term for the LICENSED PREMISE, which commenced on the date of the License’s execution. The term of License may be extended for 30 days at a time for any or all of the facilities upon 10 days advance notice to the relevant Licensor. 7. Paragraph 14 is hereby amended to add Exhibits 3 and 4 depicting the ADDITIONAL LICENSED PREMISES. 8. All other terms and conditions of the License shall remain in effect, except as amended herein, and shall apply to all parties for the duration of the License term.
