Ms. Klonsky,

By this letter, the City of Chicago retroactively memorializes the City?s engagement, as
of May 20, 2020, of you as a consultant to the City?s Department of Law and the Mayor?s Of?ce
in connection with the following areas of expertise: government relations, labor relations,
policy, communications, and other City-wide matters that may arise from time to time, as to
which the Department of Law and the Mayor?s Of?ce seek your advice and opinion. This
engagement is pro 190110 and shall expire on May 20, 2021.

As to this engagement, the City hereby designates you as an essential advisor to the City
in formulating decisions based on your expertise and experience. The City anticipates that it
may use the information you provide to assist the Department of Law or the Mayor?s Of?ce in
strategy or tactics for the City. All drafts, documents and work product developed by you will be
limited in distribution to the Corporation Counsel and others as authorized by the Corporation
Counsel and Mayor?s Counsel and should be marked as You shall not
disclose any of your ?ndings, or information about City business or operations learned in the
course of this engagement, with anyone outside the Department of Law or the Mayor?s Of?ce.

In this role, you are not an authorized representative of either the Department of Law or the
Mayor?s Of?ce and shall not represent yourself as such at any time.

Finally, you have represented that you do not have any current clients who do business
with, are seeking to do business with, or otherwise seek to in?uence the actions or decisions of
the City. You further agree that you will not take on any such clients for the duration of this
engagement and for a period of one year after the end of this engagement. You agree that when
providing your advice and opinions to the City under this engagement, your sole duty is toward
the City and exclusively in furtherance of the best interests of the City. Please sign below to
acknowledge your acceptance of this engagement on the terms speci?ed herein and return the
signed document to the Mayor?s Counsel and Senior Ethics Advisor.
