MEMORANDUM OF AGREEMENT

On January 30, 2003, ?Indian Hills Development LLC (?Seller?) and U.S. Home
Corporation (?Purchaser?), executed a Memorandum of Agreement (?Memorandum?) affecting
the property described on Exhibit A minexed hereto (the ?Property?): -

The purpose of this Memorandum is to notify all persons interested in the Property, that
that certain Agreement for Purchase of Land dated January 30, 2003 (The ?Agreement?),
between Seller and Pmchaser with respect to the Property has terminated, and no longer affects
the Property and the Memorandum is of no ?trther force and effect. 

Executed as of this 31? day of January, 2005, but effective as of the termination of said
