Election Edition 2013 Official Ballot   Removal of Board Member  On April 9, 2013 the Board of Directors voted to remove Laurel Kaiser from her Board of Directors posi‐ on based on a series of behaviors deemed by the Board to be extremely detrimental to the best inter‐ ests and welfare of the Sarasota Sailing Squadron (SSS).  It is the belief of the Board that Ms. Kaiser engaged in behavior that is unethical and inappropriate for a  Board member. The Board vote for removal was based on the following allega ons of misconduct:    Conflict of Interest – Following a decision by the Board to enter into nego a ons for a Joint  Venture  with  the  City  for  providing  kayak  racks  on  City  land  adjacent  to  the  SSS,  Ms.  Kaiser  separately  ini ated  talks  with  public  officials  to  try  to  influence  nego a ons,  advoca ng  for  her personal, business and financial interests which were in direct conflict with the best inter‐ ests of the SSS.   Disclosure  and  Use  of  Confiden al  Informa on  for  Personal  Gain  ‐  Sharing  informa on  not  generally available to the members of the public which was acquired in the course of serving  on the Board.   Engaging  in  Undisclosed  and  Unauthorized  Mee ngs  with  Public  Officials  –  Without  Board  knowledge, mee ng with outside par es that are in legal and business nego a ons with the  SSS and advoca ng a posi on contrary to that of the SSS.   Using her Board Posi on to Influence Nego a on Outcomes – Ms. Kaiser presented herself to  the City as a “private ci zen” to covertly lobby public officials to take a stance against SSS inter‐ ests in a Joint Venture that was currently being nego ated by SSS.   The Board’s understanding is that:   For years, Ms. Kaiser has stored her personal business boats, trailers and vehicles on the public  park land immediately outside the SSS fence next to the radio tower property.   The City of Sarasota asked the SSS to propose a Joint Venture to build and operate kayak racks  on the public park land immediately outside the SSS fence next to the radio tower proper‐ ty.  The City of Sarasota is the SSS' landlord and our con nued good rela onship with them is  what helps preserve the SSS lease.   Part of the SSS proposal ‐ at the Mayor’s specific request ‐ was to secure the area by enclosing  the kayak storage area in a perimeter fence.    A fence around the perimeter, rather than building individual cages around each kayak stored  is not only the most secure op on, but the most cost effec ve op on.  A perimeter fence would  save thousands of dollars in construc on cost but would result in Ms. Kaiser not being able to  store her boats, trailers and vehicles in that area.     Ms. Kaiser disagreed with the SSS and the Mayor’s sugges on to enclose the area with a fence  which would deprive her of the personal benefit of free boat, trailer and vehicle storage that  she had enjoyed.    Official Ballot Page 2 Page 31 The Burgee - Election Edition 2013 Official Ballot    Without first informing the SSS Board, she later admi ed to se ng up mee ngs with all five  City Commissioners, all five County Commissioners and addi onal staff at both the City and  County to a empt to convince them that pu ng a fence around the perimeter was a bad idea.     The elected officials and staff were all aware Ms. Kaiser was a Board member of the SSS, so her  mee ng with them created the appearance that this was an SSS official representa ve express‐ ing those views ‐ views which are in direct contradic on to the SSS/City of Sarasota proposed  Joint Venture and views which would cost the SSS thousands of addi onal dollars.   The Board believes that its ac on to remove Ms. Kaiser for this viola on of her duty to the SSS  is simply what any well‐run organiza on would do in light of an individual Board member  ac ng in direct opposi on to the interest of the organiza on in a conflict of interest.  While the  Board found this act to be the most egregious viola on, this was not the first issue of Ms. Kai‐ ser subver ng the SSS members' interest and Board decisions.      Although the Board believes that the SSS Bylaws allow it broad discre on to discipline Board Members for  viola ons like those listed above, including but not limited to, removal from the Board for unethical be‐ havior,  Ms.  Kaiser  has  challenged  the  Board’s  authority  to  do  so  and  demanded  that  removal  can  only  come from a vote of the membership at large.  Therefore, in order to assure that discipline has been fairly  rendered in this serious viola on, the Board is presen ng this ma er to the membership for removal.    Laurel Kaiser disputes these allega ons.        I vote “YES” to remove Ms. Kaiser from the SSS Board of Directors.      I vote “NO” to remove Ms. Kaiser from the SSS Board of Directors such that she may re‐ main a Board Member for the remainder of her natural term in office.
